Noon E-Commerce Owned by Noon AD Holdings One Person Business LLC, a private limited company formed in the United Arab Emirates “UAE” under license number 764928, is referred to as “Noon Food.” “Noon Food App” refers to a website, application, or other technology interface made available to Customers on a royalty-free basis by Noon Food and its Affiliates to purchase Items and, if applicable, delivery services through the Merchant. Mr. Alabbar founded Noon in 2016, and it sells items in over 14 categories, including electronics and mobile phones, cosmetics and health, fashion, and home and kitchen.
NOON FOOD SERVICES
Noon Food provides the following services:
1. Noon Food and its Affiliates will make the correct Noon Food Services, such as the Marketplace Service, Delivery Service, and Payment Processing Service, available to Merchant. Subject to the conditions of this Agreement, the Noon Food Services are strictly for the use of the Merchant.
2. Cash. Noon Food and its Affiliates may allow Customers to pay in cash for a specific Item and, if applicable, delivery services delivered by Merchant, as well as all associated fees (a “Cash Order”).
3. Meal Vouchers are a voucher that may be used to purchase food. Customers may be able to pay for a specific Order offered by Merchant, as well as some or all associated charges, with a meal voucher issued by Noon Food or its Affiliates (a “Meal Voucher Order”). Noon Food will not function as a limited payment collection agent for Meal Voucher Orders in certain circumstances, and Merchant will receive a direct settlement of Item Revenue from a third-party meal voucher issuer.
4. Complaints. In connection with the supply of Noon Food Services to Merchant, Noon Food may respond to Customer complaints concerning Items and deliveries sold by Merchant via the Noon Food App on behalf of Merchant.
5. There is no guarantee of service. The availability and uptime of the Noon Food Tools and Noon Food App are not guaranteed by Noon Food or its Affiliates. The merchant agrees and acknowledges that the Noon Food Tools and App may be unavailable at any moment and for any cause, for instance, due to scheduled maintenance or network failure.
6. The Noon Food Tools and Noon Food App are provided “as is” and “as available” by Noon Food and its Affiliates, and Merchant accepts them. Noon Food and its Affiliates make no representation, warranty, or guarantee that access to or use of the Noon Food Tools or Noon Food App will be continuous or error-free.
- I will be error-free or uninterrupted.
- It will result in any orders for Items being placed and delivered, if applicable.
7. Noon Food and its Affiliates offer no guarantees or claims about the conduct or inactions of Customers who may request or receive Items and delivery services, if applicable. Noon Food and its Affiliates do not test or analyze customers in any way.
8. Merchant acknowledges and agrees that by utilizing the Noon Food Tools, Merchant or a Delivery Partner may be introduced to a third party who could cause harm or risk to Merchant, Delivery Partners, or other third parties. Merchants and their Delivery Partners are urged to exercise reasonable caution when dealing with third parties in connection with the usage of Noon Food Services and Noon Food Tools. The safety of any Items is not represented, warranted, or guaranteed by Noon Food.
9. The Noon Food Service has been stopped. Noon Food reserves the right, in its sole discretion, to temporarily or permanently suspend Merchant’s access to the Noon Food Services and Noon Food Tools, in whole or in part, if:
- The merchant fails to produce the required documentation on time;
- By clause VI of the Order Sheet, a Brand Matter has happened.
- The merchant’s account is past due.
- Merchant violates this Agreement.
NOON FOOD DELIVERY SERVICE
The Noon Food Tools will be made available to Merchant to access and request on-demand delivery services offered by Noon Food Delivery Partners, allowing Items to be transferred from Merchant to Customer via Noon Food Delivery Partners, upon Merchant agreeing to the Order Form, Definitions, General Supplemental Terms, and Specific Supplemental Terms governing the Noon Food Delivery Service, and conditional upon completion of any additional verification steps.
PAYMENT
Fee for delivery service. For each Order delivered by Noon Food via the Noon Food App, Noon Food will charge Merchant a Delivery Service Fee in the amount specified in the Order Form in exchange for the Delivery Services provided to the Merchant.
Transfer of Revenue
Merchant will receive the total Item Payment, less
(1) the Marketplace Service Fee
(2) the Delivery Service Fee
(3) any refunds are given on Merchant’s behalf to Customers, and as and when applicable
(4) the Payment Processing Fee
(5) Cancellation Fee
(6) Activation Fee
(7) The Photographic Content Fee such as final transferred amount being the “Noon Food Delivery Item” and the final transferred amount being the “Noon Food Delivery.”
